Terms of Service

1. Account Terms

• You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
• You are responsible for all content posted and activity that occurs under your account, even when content is posted by others who have accounts under your organization.
• You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
• You must be at least 18 years old or the age of legal majority in your jurisdiction to use this service.
• You must provide a valid email address to complete the signup process.

2. Payment, Refunds & Pricing

Lifetime Deal

EaseUI offers a limited lifetime deal at a one-time price. "Lifetime" means the lifetime of the product — as long as EaseUI exists, your access to the features included at the time of purchase continues. Lifetime deals are limited in quantity and may be discontinued at any time.

Subscription Plans

After lifetime slots are exhausted, EaseUI operates on a monthly subscription model. Subscription fees are billed in advance on a monthly basis and are non-refundable except as described below.

Payment Processing

All payments are processed through Stripe. We do not store your credit card details. Payment processing is subject to Stripe's own terms and privacy policy.

B2C Only — No VAT Invoices

EaseUI is currently sold to individual consumers (B2C) only. We do not issue VAT invoices or provide enterprise procurement documents. If you require B2B invoicing, custom contracts, or team licensing, please contact us directly at jang@easeui.design to discuss your needs.

Refunds

We offer a 14-day money-back guarantee on all purchases — lifetime deals and subscriptions alike. If you're not satisfied, contact us within 14 days of purchase for a full refund. No questions asked.

3. Acceptable Use

You agree not to misuse EaseUI. A misuse includes, but is not limited to:

• Using the service for any illegal purpose or in violation of any laws in your jurisdiction
• Attempting to reverse-engineer, decompile, or extract the source code of EaseUI's proprietary systems
• Reselling or redistributing EaseUI access without explicit permission
• Automated scraping, crawling, or data extraction from the service beyond what is permitted by your plan
• Generating content that is harmful, abusive, harassing, or promotes violence
• Circumventing usage limits, rate limits, or feature gates

4. Bring Your Own Key (BYOK)

EaseUI uses a BYOK model for certain AI features. This means:

• Your API keys — You connect your own API keys (e.g., OpenAI, Anthropic, Google). These keys are stored locally in your browser and are never transmitted to our servers.
• Your costs — API usage costs are billed directly by the API provider to you. EaseUI does not charge for, mark up, or intermediate API usage.
• Your responsibility — You are responsible for managing your API key security, usage limits, and compliance with the API provider's terms of service.
• Sponsored free tier — Free-tier users may access a limited number of AI generations per day via our sponsored API. These are subject to fair-use limits.

5. Intellectual Property

What You Own

You retain full ownership of all designs, code, and content you create using EaseUI. We claim no intellectual property rights over the materials you create with our service.

What We Own

EaseUI, its visual design, underlying code, documentation, and brand assets are and remain the intellectual property of EaseUI. You may not duplicate, copy, or reuse any portion of the EaseUI application code, visual design, or brand without express written permission.

Feedback

If you provide us with feedback or suggestions, you grant us an unrestricted, perpetual license to use that feedback to improve the product. You are not required to provide feedback.

6. Your Content & Data

• Your data is yours. We don't own your content. We don't sell your data. We don't mine it for advertising.
• Export anytime. You retain the right to export all your data from EaseUI at any time in standard formats.
• Deletion. When you delete content, it's deleted from our active servers within 30 days. Backups may retain deleted content for up to 60 additional days before being purged.

7. Cancellation & Termination

Cancellation by You

• You can cancel your subscription at any time through your account settings or by contacting us.
• When you cancel, your access continues until the end of your current billing period.
• Lifetime deal holders cannot "cancel" per se — your access persists for the lifetime of the product.

Termination by Us

• We reserve the right to suspend or terminate your account if you violate these Terms.
• We will make a reasonable effort to contact you before suspension, unless we believe immediate action is required (e.g., abuse, security threats, or illegal activity).
• Upon termination, your content will be preserved for 30 days to allow you to export your data.

8. Modifications to Service & Prices

• We reserve the right to modify or discontinue any part of EaseUI at any time. We will provide at least 30 days' notice for significant changes.
• Price changes for subscription plans will not affect your current billing period. You'll receive at least 30 days' notice before any price increase takes effect.
• Lifetime deal pricing and included features are locked at the time of purchase. New premium features released after your purchase may not be included in your lifetime deal.

9. Uptime, Security & Privacy

• Uptime. We target 99.9% uptime. We don't offer contractual SLAs at this stage, but we take reliability seriously.
• Security. All data is encrypted in transit (TLS 1.2+) and at rest. We follow OWASP security practices and conduct regular security reviews.
• Privacy. We take your privacy seriously. Our full privacy practices are detailed in our Privacy Policy.
• Breach notification. In the event of a data breach that affects your personal information, we will notify you within 72 hours in compliance with GDPR requirements.

10. Liability

You expressly understand and agree that EaseUI shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

• Your use or inability to use the service
• Any unauthorized access to or alteration of your data
• Statements or conduct of any third party on the service
• AI-generated content quality, accuracy, or fitness for any particular purpose
• Any other matter relating to this Terms of Service or the service itself

In no event shall our total aggregate liability exceed the amount you paid us in the 12 months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

You agree to indemnify and hold harmless EaseUI from any claims, losses, or damages, including legal fees, arising from your use of the service or violation of these Terms.

AI-Generated Content Disclaimer

EaseUI uses artificial intelligence to generate designs and code. AI-generated outputs may not always be accurate, complete, or suitable for production use. You are solely responsible for reviewing, testing, and validating all AI-generated content before use in any production environment. EaseUI makes no warranties regarding the quality, correctness, or appropriateness of AI-generated content.

11. Governing Law & Disputes

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved as follows:

1. Good-faith negotiation — Both parties shall first attempt to resolve the dispute through informal negotiation for a period of 30 days.
2. Arbitration — If negotiation fails, the dispute shall be referred to and finally resolved by arbitration at the Vietnam International Arbitration Centre (VIAC) in accordance with its rules. The arbitration shall be conducted in English. The arbitral award shall be final and binding.
3. Injunctive relief — Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.

Language

The English version of these Terms is the binding version. Any Vietnamese translation is provided for convenience only. In the event of a conflict, the English version shall prevail.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and EaseUI regarding the use of the service. They supersede all prior agreements, representations, and understandings.
